Objectives
To enable students to:
- Understand the fundamental problems of this branch of the law;
- Master the fundamental concepts of this branch of the law;
- Become aware of the main Portuguese rules of this branch of the law;
- Apply the referred rules;
- Become aware of the major aspects of the evolution of this branch of the law in Portugal
Subject matter
I. - Introduction.
1. Concept and sources
2. The social relevance of the contract
3. Contractual freedom, and the contractual unity and plurality.
II. – Formation and content of the contracts.
1. Formation: several alternative models.
3. Content and effects of contracts.
4. Interpretation and integration.
5. Preliminary contracts and contracts with multi-party structure: contract for the benefit of a third person and contract with right to appoint a nominee; promissory contract and preemption right contracts.
III. – Fulfillment and breach.
1. Fulfillment: active and passive legitimacy, place, time, destination,
2. Breach of contractual obligations. Types: definitive breach; defective fulfillment; delay (mora debitoris). Effects: exceptio non adempleti contractus; right to full and perfect fulfillment; reduction of the consideration; rescission; compensation. Particularities in relation to the promissory contract and the “down payment” regimen.
